PLEASE TAKE THE TIME TO READ THESE TERMS AND CONDITIONS.They will apply to all entities that use the Letter of Access (LoA) module tool (hereinafter �LoA module� or �LoA e-shop�) as hosted and made available by ReachCentrum SA (hereinafter �ReachCentrum�) to REACH1 consortia or Lead Registrants for use in the Substance Information Exchange Forum (�SIEF�) through this webpage. When proceeding to the purchase and payment of a LoA, the users of the LoA module do not enter into any contractual relationship with ReachCentrum. Purchase of a LoA via the LoA module is ruled by the terms of the agreement (SIEF Agreement or any other contract) concluded (in the SIEF) between the individual SIEF members and the consortium (members)/the Lead Registrant, if any. The LoA module has been developed and should be used only in the context of REACH.

The use of the Letter of Access (LoA) module tool does not relieve the registrant from its duty to comply with the requirements of REACH, i.e. in particular to submit an individual registration dossier to ECHA. It only aims to facilitate the sharing of data within the SIEF, in line with REACH requirements for data and cost sharing among SIEF members.

1 - Joint registration compensation for purchase of the LoA

Fees are always presented VAT excluded.

2 - Payment Information

Payment shall be made by bank transfer.

3 - Payment by bank transfer

An invoice will be produced with ReachCentrum bank details. ReachCentrum, acting on behalf of the Lead Registrant, will deliver the Letter of Access only upon receipt of the payment or proof of payment.

4 - Costs

Prices per 1 April 2018

Above prices will be evaluated on a yearly basis and may be subject to adjustment per 1 January of each year.

The Handling Fee includes costs for preparing the invoice, payment tracking and sending the LoA and dossier information.

Important Notice: requests for changes in the list of affiliates shall be based on the submission of a declaration of affiliation proving the corporate link between user and affiliate(s). In the interest of expediency, ReachCentrum will provide the user with a template document, to be filled in by the user and then submitted to ReachCentrum for its processing.

5a - Reimbursement Information

By entering the user name and password, the user of the present LoA e-shop account recognizes that it is entitled to act on behalf of the legal entity/company to which the present LoA e-shop account is linked and undertakes to provide ReachCentrum with the correct bank information (bank account details) of such legal entity/company.

ReachCentrum will not be liable for any indirect or consequential loss suffered by any LoA e-shop user or user's legal entity, or any loss of profits or loss of business (direct or indirect) suffered by any LoA e-shop user or user's legal entity. In particular, ReachCentrum will not assume any responsibility whatsoever for any damage or injury caused due to the content of the invoicing or bank information provided by the user of the LoA shop account. It is the responsibility of the legal entity that is entitled to a reimbursement to check that the information provided to ReachCentrum is valid and corresponds to the appropriate company bank account.

5b� Reimbursement costs

If costs are charged by the bank for the transfer from ReachCentrum�s bank account to the customer bank account, any such charge shall be debited to the account of the customer.

6 - Confirmation of order

The LoA buyer will always receive a confirmation of the order of purchase of the Letter of Access, acknowledging that the order has been received and successfully processed. That automatic reply will immediately follow an on-line order. ReachCentrum will not be responsible if the LoA buyer fails to receive confirmation because the latter has supplied ReachCentrum with an incorrect email. If the LoA buyer does not obtain anything, please send an email to [email protected] to make sure that the order has been received.

7 - Invoice

The invoice will be provided in electronic format (PDF) via email and in hardcopy by post. As a general rule, when sent by post, the invoice is sent to the company the LoA buyer mentioned in the �invoice� address field on the LoA e-shop. The aforementioned company is entirely responsible for ensuring that the invoice is treated according to, and in compliance with, applicable VAT legislation and other national laws. Notwithstanding the above, the invoice can be shipped to the other address as specified in the �ship� address field in the LoA e-shop.

8 - Data Protection

The personal information provided by the LoA buyer will be held on the consortium/Lead Registrant database in accordance with the relevant applicable legal framework. If the LoA buyer does not wish his/her details to be used for this purpose, please write to ReachCentrum ([email protected]).

9 � Intellectual Property rights

All Intellectual Property rights provided to the LoA buyer for the purposes of the sale of the Letter of Access are the property of the consortium members/Lead Registrant, ReachCentrum or its licensors. The LoA buyer is not entitled to copy such data (except as permitted by law) nor is the latter entitled to use or authorise others to use it for any purposes outside compliance with the REACH legislation.

10 - Liability and insurance

ReachCentrum will not assume any responsibility whatsoever for any damage or injury caused by the use of the present tool. ReachCentrum shall have no liability for loss or damage except where this is due to the gross negligence of ReachCentrum. ReachCentrum will not be liable for any indirect or consequential loss suffered by any user or any loss of profits or loss of business (direct or indirect) suffered by any user.

ReachCentrum provides only the hosting of the present tool for use by REACH consortia/Lead Registrants. ReachCentrum will not assume any responsibility whatsoever for the data and cost sharing process, in particular the terms of the SIEF Agreement or any other contractual arrangement in the SIEF, the cost sharing principles agreed in the SIEF, the proposed price of the Letter of Access, the information provided following the purchase of a Letter of Access. However, ReachCentrum�s total liability to any user, in tort (including but not limited to negligence) or otherwise, shall not exceed 700.00 EUR.

11 - Applicable laws and competence

The relationship between the consortium members/Lead Registrant and the SIEF members are governed in accordance with the law agreed within the framework of the contractual arrangement agreed among the parties (SIEF Agreement or any other contract).

The relationship between ReachCentrum and the registrant will be exclusively governed and construed in accordance with the laws of Belgium without giving effect to any principles of conflicts of law. If no agreement can be reached with ReachCentrum, any dispute related to the non-contractual relationship will be governed by the exclusive competence of the Belgian jurisdiction.

12 - Force Majeure

ReachCentrum will not be liable for any breach or delay in the performance of any services, to the extent that such breach or delay is caused, directly or indirectly, by an event beyond the reasonable control of ReachCentrum such as, but not limited to: fire, flood, earthquake, elements of nature, acts or regulations of government bodies, court orders, acts of war, terrorism, riots, civil disorders, rebellions or revolutions, strikes, lockouts or labour difficulties. Such events or circumstances giving rise to the breach or delay is a Force Majeure Event.


These terms of use apply to all orders submitted during the process of purchase of a Letter of Access. These terms and conditions may be amended by ReachCentrum from time to time and, therefore, it is the LoA buyer�s responsibility to read our current terms and conditions before submitting each order.
